Terms of Service

1. Definitions

• "Service" refers to the RunMyShop WooCommerce plugin and associated cloud AI processing.
• "User", "You" refers to the individual or business entity using the Service.
• "We", "Us", "RunMyShop" refers to the operator of the RunMyShop service.
• "Store Data" refers to product listings, order information, analytics, and other data in your WooCommerce installation.

2. Service Description

RunMyShop provides an AI-powered assistant that connects to your WooCommerce store and performs management tasks through natural language conversation, including but not limited to: product listing management, pricing updates, SEO optimization, analytics reporting, and promotional suggestions.

3. Account & Access

• You must have a valid WooCommerce store to use the Service.
• You are responsible for maintaining the security of your WordPress installation and API credentials.
• You must not share your RunMyShop subscription with unauthorized third parties.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription & Payment

• The Service is offered on a subscription basis. Pricing and plan details are available on our website.
• Payments are processed through our payment partner (Creem). By subscribing, you also agree to Creem's terms of service.
• Subscriptions renew automatically unless cancelled before the renewal date.
• Refunds are handled on a case-by-case basis. We are not obligated to provide refunds for partial billing periods.
• We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

5. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Use the Service to generate content that is harmful, misleading, defamatory, or infringes on third-party rights.
• Overload the Service with automated requests beyond normal usage patterns.
• Resell, sublicense, or redistribute the Service without our written consent.
• Circumvent usage limits, rate limiting, or authentication mechanisms.

6. AI-Generated Content

• The AI assistant generates suggestions, product descriptions, and recommendations. You are solely responsible for reviewing, approving, and publishing any AI-generated content on your store.
• We do not guarantee the accuracy, completeness, or commercial suitability of AI-generated content.
• You acknowledge that AI outputs may occasionally contain errors, and you agree to review all outputs before use.
• We are not liable for any losses, damages, or claims arising from your use of AI-generated content.

7. Your Store Data

• You retain full ownership of your Store Data at all times.
• You grant us a limited, non-exclusive license to access and process your Store Data solely for the purpose of providing the Service.
• We do not store, retain, or use your Store Data for any purpose beyond fulfilling your immediate requests. See our Privacy Policy for details.

8. Intellectual Property

• The RunMyShop plugin, its code, design, branding, and documentation are our intellectual property and are protected by applicable copyright and trademark laws.
• Your subscription grants you a non-exclusive, non-transferable, revocable license to use the Service for your own business operations.
• Content you create using the Service (product descriptions, marketing copy, etc.) belongs to you.

9. Service Availability & Modifications

• We aim to maintain high availability but do not guarantee uninterrupted service. Maintenance windows and outages may occur.
• We reserve the right to modify, update, or discontinue features of the Service at any time.
• In the event of Service discontinuation, we will provide at least 30 days' notice and assist with data export where applicable.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.
• Our total aggregate liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
• We are not responsible for any actions taken by the AI assistant that you approved or failed to review before execution.

11. Indemnification

You agree to indemnify and hold harmless RunMyShop, its operators, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Content published on your store using AI-generated outputs
• Your violation of any applicable laws or third-party rights

12. Termination

• You may cancel your subscription at any time through the plugin dashboard or by contacting us.
• We may terminate or suspend your access immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to the Service or other users.
• Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 10, 11, and 13 survive termination.

13. Governing Law & Disputes

• These Terms are governed by and construed in accordance with applicable law.
• Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.
• If negotiation fails, disputes shall be submitted to binding arbitration under rules agreed upon by both parties.
• Nothing in these Terms limits your statutory rights as a consumer under applicable local law, including but not limited to rights under the GDPR or local consumer protection regulations.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or the plugin dashboard at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
